1 Overview and Acceptance

These Terms and Conditions ("Terms") govern your use of Backlog Buddy (the "App"), a Jira application developed and operated by Voxra ("we," "our," "us"). By installing or using the App through the Atlassian Marketplace, you agree to be bound by these Terms.

If you do not agree to these Terms, do not install or continue to use the App.

2 The Service

Backlog Buddy is a Jira application built on the Atlassian Forge platform. It provides teams with AI-powered features including ticket quality scoring, stale issue detection, sprint health monitoring, deadline management, and a PRD-to-Backlog generator.

3 License and Access

Voxra grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App solely through the Atlassian Marketplace during the period of your active subscription. This license does not include the right to:

• Resell, sublicense, or redistribute the App or its outputs
• Reverse-engineer or attempt to extract the App's source code or AI logic
• Use the App to build a competing product or service

4 User Responsibilities

As a user of the App, you agree to:

• Use the App only for lawful purposes and in compliance with Atlassian's Marketplace Terms of Use
• Maintain the security of your Atlassian account credentials
• Not use the App in any manner that could damage, disable, or impair its performance or availability for other users
• Review and validate all AI-generated content before applying it to your project

5 AI-Powered Features

The App's AI features (AI Story Points, AI Description Suggestion, AI Acceptance Criteria, and PRD-to-Backlog) transmit relevant Jira issue data to third-party AI providers (Anthropic/OpenRouter) to generate outputs.

By enabling and using these features, you:

• Consent to the transmission of relevant Jira data to these providers for real-time processing
• Acknowledge that AI-generated outputs are suggestions only, not professional or technical advice
• Remain solely responsible for reviewing, editing, and validating all AI-generated content before use
• Agree that we are not liable for inaccurate or incomplete AI outputs

6 Subscription and Billing

Subscriptions to Backlog Buddy are managed exclusively through the Atlassian Marketplace:

• Current pricing: $2–5 per user/month depending on team size (subject to change)
• All billing, invoicing, and payment processing is handled by Atlassian
• For refunds, cancellations, or billing disputes, refer to Atlassian's Marketplace terms
• Voxra reserves the right to adjust pricing with reasonable advance notice through the Marketplace

7 Intellectual Property

The App — including its source code, AI logic, user interface, brand assets, documentation, and all associated materials — is the exclusive intellectual property of Voxra.

You may not copy, modify, distribute, or create derivative works based on any part of the App without express written permission from Voxra.

8 Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that:

• The App will be error-free, uninterrupted, or free of security vulnerabilities
• AI-generated outputs will be accurate, complete, or suitable for your specific needs
• The App will meet all your requirements or expectations

9 Limitation of Liability

To the maximum extent permitted by applicable law, Voxra and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of data, loss of revenue, or loss of business — arising from your use of or inability to use the App.

In any event, our total aggregate liability shall not exceed the total fees paid by you for the App in the three (3) months preceding the claim.

10 Changes to Terms

We reserve the right to update these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and notify users through the App or Atlassian Marketplace notifications.

Continued use of the App after changes are posted constitutes your acceptance of the revised Terms.

11 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising from these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts of Bandung, Indonesia.
